These terms govern use of the CodeRadar managed plane and any commercial subscription. The open CodeWatch core is licensed under Apache 2.0 (core) and MIT (SDKs); these terms govern only the managed services we operate.
Service means the CodeRadar managed plane, including the hosted ingest, the hosted query API, the dashboard, the alert engine, and any associated developer tooling. Core means the open-source CodeWatch core, separately licensed. Customer means the entity that has accepted these terms. End User means an agent, service, or person that interacts with the Service through the Customer's account.
Subject to these terms and the applicable order form, Good Ventures Lab Inc. grants Customer a non-exclusive, non-transferable, worldwide right to use the Service during the term. The Core is separately licensed under Apache 2.0 (core) and MIT (SDKs); these terms do not limit or amend those licenses.
For the portfolio-internal tier (Goodventures projects), Customer is the Goodventures parent entity and these terms apply on a single-org basis with no per-project fee.
Customer agrees not to use the Service to: facilitate illegal activity; submit fabricated events to mislead other tenants' alerts; impersonate other tenants; mine, scrape, or republish other tenants' event or telemetry data; attack the Service through DoS, sandbox escape, or replay; or upload data the customer has no right to.
Channel destinations apply transitively. When an alert is sent to Slack, the customer's use of that destination must additionally comply with that destination's terms. CodeRadar does not assume responsibility for downstream-channel policy violations.
CodeRadar may suspend access for violations, with notice where reasonable. We will not suspend in a way that orphans an in-flight ingest.
The portfolio-internal tier is no fee. Any external managed tier (when offered) will be governed by an order form stating fees, allowances, and overage. Disputed invoices: notify within 30 days of invoice date; we will hold collection on the disputed line item until resolved.
The agreement runs for the term in the order form, with automatic renewal unless either party gives 30 days' written notice. Either party may terminate for material breach uncured 30 days after written notice. On termination, Customer's data is exportable for 60 days, after which it is deleted (except where retention is required by law).
Each party will protect the other's confidential information with the same care it uses for its own confidential information of like sensitivity, and not less than reasonable care. Confidentiality survives termination for three years.
Good Ventures Lab Inc. warrants that the Service will materially conform to the published documentation. The Service is otherwise provided "as is." We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where prohibited by law.
Except for breach of confidentiality, indemnity obligations, willful misconduct, or fraud, neither party is liable for indirect, incidental, consequential, or punitive damages. Each party's aggregate liability is capped at the fees paid by Customer in the 12 months preceding the event (or, for the no-fee tier, USD $1,000).
Good Ventures Lab Inc. will defend Customer against third-party IP claims arising from Customer's authorized use of the Service, and pay damages awarded by a court of competent jurisdiction or in a settlement we approve. Customer will defend us against claims arising from Customer's misuse, violation of acceptable-use policy, or violation of law.
These terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict-of-law rules. Disputes are resolved in the courts of British Columbia. Customers outside Canada may receive jurisdiction-specific addenda where required by law.
Material changes are announced on the changelog and emailed to billing/admin contacts at least 30 days in advance. Continued use after the effective date constitutes acceptance.
